CNC Machining & Manufacturing Agreement
1. Scope of Service & DFM
We provide precision CNC machining, sheet metal fabrication, and finishing services based on customer-supplied CAD models and 2D drawings. While we may provide Design for Manufacturing (DFM) feedback to optimize production or reduce costs, the final responsibility for the design's functional integrity rests solely with the Customer.
2. Quotations and Binding Orders
Quotations are valid for 30 days, subject to material price fluctuations. A contract is deemed binding only upon our written Order Confirmation and, where applicable, the receipt of the initial deposit. Price adjustments may occur if the Customer's final files deviate from the version used for the initial quote.
3. Intellectual Property and Confidentiality
All technical drawings, 3D models, and proprietary data provided by the Customer remain the Customer’s Intellectual Property. We commit to strict confidentiality and will not disclose designs to third parties without prior written consent, except as required for outsourced specialized finishing processes (e.g., specific heat treatments or plating).
4. Technical Standards & Tolerances
Unless explicitly specified otherwise, we manufacture parts according to ISO 2768-m (Medium) standards. In cases of conflict between a 3D model and a 2D drawing, the 2D drawing shall take precedence for tolerances and critical dimensions. It is the Customer's responsibility to provide clear, legible GD&T (Geometric Dimensioning and Tolerancing) instructions.
5. Material Sourcing & Customer-Supplied Material
We provide material certifications (Mill Certs) upon request at the time of order. If the Customer provides the raw material, we are not liable for any defects or machining failures caused by sub-standard material quality or internal stresses within customer-supplied stock.
6. Inspection & Quality Claims
Customers must perform a full inspection within 7 business days of delivery. Any claims for non-conformity must be submitted in writing with supporting photographic evidence or metrology reports. Our liability is limited to the rework or replacement of parts that fail to meet the agreed-upon technical specifications.
7. Payment Terms & Title of Goods
Unless otherwise agreed in writing, standard terms are a 50% deposit with the remaining 50% due prior to shipment. Ownership (Title) of the manufactured components does not pass to the Customer until full payment has been received. We reserve the right to withhold shipments for accounts with overdue balances.
8. Shipping, Customs, and Risk
All shipments are typically EXW (Ex Works) or DAP (Delivered at Place) as specified in the quote. Risk of loss passes to the Customer once the goods are handed over to the carrier. We are not responsible for delays in customs clearance or regional import duties in the destination country.
9. Force Majeure & Limitation of Liability
We are not liable for failure to perform due to events beyond our reasonable control, including but not limited to raw material shortages, power grid failures, or natural disasters. Under no circumstances shall our liability exceed the total value of the specific order in question.
